Terms and Conditions

 

Welcome to the Seaguth Changemaker Influencer Program! We are excited to have you on board as a Changemaker and look forward to collaborating with you to accelerate your impact on the planet and enhance your performance through our products. Please read these Terms and Conditions carefully before joining our program. By signing below, you agree to comply with the terms outlined herein.

 

1. Confidentiality and Privacy:

   A. We value your privacy and will never share your personal information in any way outside what is presented in these terms or without your explicit consent. Any data collected from you will be used solely for the purposes of the Seaguth Changemaker Influencer Program.

   B. We may request your consent to share your name, image, social media handles, and other relevant details as part of promoting your association with Seaguth on our website, social media channels, and other marketing materials. Such sharing will only occur with your explicit permission.

 

2. Engagement Options:

As a Seaguth Changemaker Influencer, you have the opportunity to engage with us in the following ways:

   A. Product Testing and Feedback:

  • You will occasionally receive our products to test and provide feedback on their performance, features, and usability. Your feedback is valuable to us and will help us improve our products.
  • By accepting the products for testing, you agree to use them responsibly, provide honest and constructive feedback, and refrain from misusing or disclosing any confidential information related to our products.

 

   B. Changemaker:

  • We will list and recognize you as a Changemaker on our dedicated influencer page on our website, showcasing our support of you and what you do.
  • We may include your name, image, social media handles, and a brief description of your work or passion related to environmental impact on the influencer page. You will have a space to include links to Press, Images, Videos, Articles that you provide us.

 

   C. Elite Changemaker:

  • At this level we will partner in a manner that works for all to cross promote each other with the intention of creating a bigger positive impact for the planet and increasing exposure to the issues and solutions we are aligned with.  Our mission is to amplify you and your work. We recognize that your partnerships and relationships are important, and we will respect these relationships with privacy and integrity.
  • We assure you that when sharing your stories and passions on our media channels, we will do so in a manner that aligns with your preferences and respects the privacy of your partners and relationships.
  • If you have any specific requirements or concerns regarding the disclosure or presentation of your partnerships, please let us know, and we will accommodate your requests to the best of our abilities.

 

3. Intellectual Property:

   A. You acknowledge that all intellectual property rights, including but not limited to trademarks, logos, designs, and content, associated with Seaguth and our products, are owned by Seaguth or our licensors.  We acknowledge that all intellectual property that you provide including but not limited to trademarks, logos, designs, and content, associated with your personal brand and work are owned by their respective copyright holders.

   B. During your engagement as a Changemaker, you may use our intellectual property, including our trademarks and logos, for promotional purposes solely in connection with the Seaguth Changemaker Influencer Program. You agree not to use our intellectual property in any way that may cause confusion or harm to our brand.

 

4. Mutual Indemnification:

   A. You agree to indemnify and hold Seaguth, its officers, directors, employees, and agents harmless from any claims, demands, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your participation in the SeaWater Changemaker Influencer Program, including but not limited to:

  • Any breach of these Terms and Conditions by you;
  • Any violation of applicable laws or regulations by you;
  • Any infringement of intellectual property rights or other rights of any third party caused by your actions or content;
  • Any negligent or intentional misconduct by you.

   B. Seaguth agrees to indemnify and hold you harmless from any claims, demands, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any negligent or intentional misconduct on the part of Seaguth.

 

5. Termination:

   A. Either party may terminate this agreement at any time with written notice.

   B. In the event of termination, you agree to promptly return any products or materials provided by Seaguth for testing purposes. Seaguth agrees to remove you and your content from our website and cease in promoting or recognizing active relationships.
